优先债务：优先于其他未担保或更“次级”的债务的债务，通常以优先票据或称为优先贷款的形式发行。在发行人的资本结构中，优先债务比次级债务具有更高的优先级。如果发行人破产，理论上必须先偿还优先债务，然后其他债权人才能收到任何付款。
